1. Agreement to Terms
By accessing or using Archie ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These Terms apply to all users, including business owners who deploy Archie and their customers who interact with Archie.
2. Description of Service
Archie is an AI-powered phone agent that answers business calls, books appointments, sends SMS messages, and learns your business over time. The Service is provided on a subscription basis at $49/month plus $1 per call.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
4. Acceptable Use
You agree to use Archie only for lawful business purposes. You may not use the Service to:
- Violate any applicable laws or regulations
- Engage in deceptive, fraudulent, or misleading communications
- Harass, abuse, or harm any person
- Transmit spam, unsolicited messages, or illegal content
- Attempt to reverse-engineer or exploit the Service
- Resell or sublicense the Service without our written consent
5. Call Recording Compliance
By using Archie to handle your business calls, you acknowledge that calls are recorded and transcribed. You are solely responsible for compliance with all applicable call recording laws in your jurisdiction (including but not limited to federal and state wiretapping statutes). Archie plays a disclosure message at the start of each call, but it is your responsibility to ensure this disclosure satisfies local legal requirements.
6. Billing & Payment
The Service is billed monthly at $49/month plus $1 per call. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in service suspension or termination.
7. Cancellation
You may cancel your subscription at any time. Your service will remain active through the end of the current billing period. We do not provide prorated refunds for partial months.
8. Intellectual Property
Archie and all related software, designs, and content are our intellectual property. You retain ownership of your business data and call content. You grant us a limited license to use your data solely to provide and improve the Service.
9. AI Limitations & Disclaimer
Archie is an AI service and may make errors. It is designed to handle routine calls but may not always respond perfectly. You are responsible for reviewing call summaries and correcting any errors. We do not guarantee that Archie will capture every booking or correctly resolve every caller inquiry.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHIE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE THREE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless Archie and its affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable laws.
12. Service Availability
We strive for high availability but do not guarantee uninterrupted service. We are not liable for any losses resulting from service outages, interruptions, or errors.
13. Termination
We reserve the right to suspend or terminate your account for violation of these Terms, non-payment, or any activity that we determine to be harmful to the Service or other users. You may terminate your account at any time by contacting us.
14. Changes to Terms
We may update these Terms at any time. We will notify you of material changes by email. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Tarrant County, Texas.
